Course content
1) A brief historical perspective on business corporations legislation and its legal status in the legal system (the definition of a legal person, the term entrepreneur, a brief overview of business corporations and their nature and purpose) 2) Establishment and business corporations, a form of legal action and the requirements of the social contract and the memorandum and the legal nature of the one-man company 3) Commercial Register, a brief historical perspective and legislation in force in the context of the Act no. 304/2013 Coll. Public registers of legal and natural persons 4) Legal Institute contribution in a business corporation, its concept and subject matter in the context of tax and accounting context 5) The concept of capital and share, share of profits, settlement amount, liquidation share - legal and contractual definitions institutes, concise accounting and tax implications 6) Transfer and transition ownership interest with respect to the allocation of capital and companies and cooperatives 7) The bodies of business corporations, their decisions, the conditions governing the performance of, the contract for performance, creation and termination functions or membership body 8) Legislation of a public company, its characteristics and focus on the legal status of partners and companions exercise of rights 9) Legislation limited partnership, its characteristics, the legal status of associates, statutory body, the limited amount 10) Limited Liability Company - a brief historical perspective, the concept and characteristics and legal status companion 11) Limited Liability Company - types of shares, voucher, the deposit and the deposit obligation of the shareholder in the company, terms of the social contract, corporate bodies and conduct of the company 12) Legislation joint stock company, concept, types and elements of the shares, the creation and establishment of the company, notion of association, the legal status of bodies of joint stock companies 13) Legal characterization of cooperatives and comparison with the cooperative housing, creation and termination of membership, cooperative and share characteristics of individual organs team

Learning outcomes

After successfully completing the course, students will be able to: - Describe the regulation of business corporations - Formulate basic institutions of company - Understand organ of limited liability companies - Understand adjustment joint stock companies - Know the peculiarities editing team

Assessment methods and criteria
Written exam test (score of correct answers, the questions are open) minimum 75% success rate of all points good 95% very good 85% good 75% or more, below 75% fail + credit hour by the teacher in class + exercises attendance at exercises min. 75% evaluation fulfilled, not fulfilled
